Any product described on the Web Sites may have exclusions, limitations, reductions in benefits and terms under which it may be continued in force or discontinued. For more information, please consult a sales associate and/or your membership contract. Some products and/or services may not be available in all states. Your eligibility for any particular product or service is subject to final determination by Member Resources, LLC. The Sites may offer general information about the law and legal plans; but they do not provide legal advice. Member Resources, LLC is not a law firm. Use of the Sites does not create an attorney-client relationship. The Sites should not be used as a substitute for the advice of an attorney.

Communications.

You agree that by providing your contact information to Member Resources, LLC, you consent to receiving communication from Member Resources, LLC, its affiliates, and its agents in connection with your membership. This may include communication about your account, features, and services via e-mail, push notification, phone, or text message (including by an automatic telephone dialing system and/or with an artificial or pre-recorded voice) at any of the phone numbers provided by you or on your behalf. Standard text messaging charges applied by your cell phone carrier may apply. While it is your obligation to keep your contact information up-to-date so that Member Resources, LLC can communicate with you about your account, you are not obligated to consent to receiving automated marketing phone calls or text messages about other Member Resources, LLC products as a condition of membership. If you believe that you are receiving automated marketing communications by text message or phone in error, then you may opt out by contacting customer service. Likewise, if you wish to stop receiving marketing emails, you may opt out by clicking “unsubscribe” on the email.

Member Resources, LLC adheres to all applicable laws regarding the privacy of information submitted by Users of this Site. Restrictions on Use.

You may not use the Web Sites in any way that could damage, disable, overburden or impair the Web Sites or interfere with any other party’s use and enjoyment of the Web Sites. You agree that Member Resources, LLC may at any time, at its sole discretion and without notice to you, remove or disable any content, Information or material that Member Resources, LLC believes violates these Terms of Use or is otherwise objectionable.

User Accounts.

You may need to create an account or provide personal information to use certain features of the Web Sites. You agree to provide accurate, complete and current information when creating an account or using the Web Sites and to update such information as necessary to keep it accurate, complete, and current. You are solely responsible for all activity occurring under your account and for maintaining the confidentiality of your account credentials. You agree to notify us immediately of any unauthorized use of your account or any other breach of security. Member Resources, LLC will not be liable for any loss or damage arising from your failure to comply with the requirements of this section.

Indemnification.

You agree to indemnify, defend, and hold harmless Member Resources, LLC, its affiliates, and their respective officers, directors, employees, agents, licensors, and suppliers from and against all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys’ fees and costs) arising out of or in any way connected with your access to or use of the Web Sites, including any violation by you of these Terms of Use.

MEMBER RESOURCES, LLC DOES NOT WARRANT THAT THE WEB SITES WILL BE AVAILABLE AT ALL TIMES, OR THAT YOUR USE OF THE WEB SITES WILL BE ERROR-FREE OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. THE WEB SITES AND ALL INFORMATION AND MATERIALS CONTAINED THEREIN ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. Limitation of Liability.

IN NO EVENT SHALL MEMBER RESOURCES, LLC OR ITS AFFILIATES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE WEB SITES OR THE INFORMATION PROVIDED ON THE WEB SITES, WHETHER OR NOT MEMBER RESOURCES, LLC HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

Termination.

Member Resources, LLC reserves the right to terminate or suspend your access to the Web Sites at any time, without notice, for any reason, including, without limitation, if Member Resources, LLC believes that you have violated or acted inconsistently with these Terms of Use.

Governing Law.

These Terms of Use shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of laws principles. Any legal action or proceeding arising out of or related to these Terms of Use or the Web Sites shall be brought exclusively in the state or federal courts located in New York County, New York.

Entire Agreement.

These Terms of Use constitute the entire agreement between you and Member Resources, LLC regarding the Web Sites and supersede all prior and contemporaneous agreements and understandings, whether written or oral, relating to the Web Sites.

Severability.

If any provision of these Terms of Use is found by a court of competent jurisdiction to be invalid or unenforceable, the remaining provisions shall remain in full force and effect.
